OH SNAP LAYOUT, LLC – SERVICE & PRODUCT AGREEMENT

1. Scope of Services and Products

a. Service Work: OSL provides on-site and off‐site construction layout printing services. OSL prints solely from files and data provided by the Customer. OSL does not verify, alter, interpret, or approve the accuracy or legality of any Customer-provided material. The Customer remains fully responsible for all content, measurements, and design data provided.
b. Product Sales: In addition to services, OSL offers pre-cut form boards incorporating anchor bolt and hold-down locations (the “Products”). These Products are sold to home builders, developers, and concrete contractors (“Customers”). Customers purchase Products based on specifications provided by the Customer (or on drawings supplied by the Customer) and must confirm that the specifications meet their project requirements. OSL does not perform engineering review, validate structural adequacy of anchor bolt/hold-down design, or guarantee suitability of the Products for a particular construction application unless expressly stated in writing.


2. Customer Responsibilities

a. For Services: Customer is responsible for the accuracy, completeness, and legality of all materials and files submitted to OSL.
b. For Products: Customer shall provide accurate and complete drawings, plans, bolt quantities, hold-down location details, and any special instructions in writing to OSL prior to manufacture. Customers affirm that drawings have been reviewed and approved for installation. Customer remains fully responsible for verifying that the Products are appropriate for the structural design, installation conditions, and applicable building codes and regulations.
c. For both Services and Products: Customer affirms that they have reviewed and approved all files, specifications, and instructions before submitting them and/or making payment.


3. Payment Terms

a. Services: Full payment is required prior to any printing or service, unless otherwise agreed in writing by OSL.
b. Products: Payment in full (or as otherwise agreed) is required before manufacturing of Products begins. OSL will not begin manufacturing until payment is cleared.
c. All payments are non-refundable once printing or manufacturing has begun or services/products have been initiated or shipped.
d. Invoices are valid for ten (10) days unless otherwise stated in writing.


4. No Warranty

a. Services: All printing and layout services are provided “as-is.” OSL disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. No oral or written information from OSL shall create a warranty not expressly stated herein.
b. Products: OSL supplies the Products based on Customer-provided specifications. OSL expressly disclaims all warranties, including but not limited to fitness for a particular purpose, structural adequacy, durability, or compliance with applicable building codes or engineering requirements. Customer assumes full responsibility for proper selection, installation, use, and maintenance of the Products.


5. Limitation of Liability

In no event shall OSL, its members, employees, or agents be liable for any indirect, incidental, special, or consequential damages, including lost profits, project delays, rework costs, or any contractor liability. OSL’s total liability, if any, under this agreement and/or in connection with any Services or Products, shall be limited to the total amount paid by the Customer for the specific job or Product giving rise to the claim.


6. Indemnification

Customer agrees to indemnify, defend, and hold harmless OSL, its owners, members, officers, and employees from and against any claims, damages, losses or expenses (including reasonable attorney fees) arising out of:
a. The use or content of printed materials or Products supplied by OSL;
b. Any inaccuracy or omission in Customer-provided data, drawings, or instructions;
c. Any claim of infringement or misuse related to Customer-provided files, designs, or specifications;
d. Any claim arising from the selection, installation, use or performance of the Products (including anchor bolt or hold-down failures) unless caused solely by OSL’s gross negligence or willful misconduct.


7. Shipping, Installation & Title (for Products)

a. Title to the Products shall pass to Customer upon full payment and delivery (or pickup) of the Products. Risk of loss, damage or theft passes to Customer at that time.
b. Customer is responsible for verifying quantities, dimensions, anchor bolt/hold-down locations, and condition of Products on receipt. Any damage, shortage or non-conformance must be reported to OSL in writing within 7 days of delivery, else the Products shall be deemed accepted.
c. OSL shall not be responsible for installation, field alignment, or coordination of the anchor bolt/hold-down locations. Customer assumes full responsibility for field installation and alignment with site conditions.

 

 

 


8. Acceptance and Binding Effect

By submitting an order for Services or Products, submitting files, or otherwise authorizing OSL to begin work or manufacture, the Customer acknowledges and agrees to the terms of this Service & Product Agreement. Payment or partial payment constitutes full acceptance of this agreement.


9. Governing Law

This Agreement is governed by and construed under the laws of the State of Wyoming, with venue and jurisdiction proper in Teton County, WY, unless otherwise required by applicable California law for intrastate business.


10. Miscellaneous

a. This Agreement constitutes the entire agreement between OSL and the Customer with respect to the Services and Products, superseding any prior discussions, proposals or agreements.
b. Any modifications must be in writing, signed by both parties.
c. If any provision is held invalid or unenforceable, the remainder shall remain in full force and effect.
d. Customer may not assign this Agreement without OSL’s written consent. OSL may assign its rights and obligations without Customer consent.


By placing an order, making payment, submitting files or specifications, or taking delivery of Products, you confirm that you have read, understood and agreed to these terms.
